TERMS OF USE.

1. Acceptance of Terms

By accessing or using Console ("the Service"), operated by Clauger US, Inc. ("Clauger," "we," "our," or "us"), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the Service.

2. Description of Service

Console is a compliance and maintenance management platform designed for refrigeration facilities. The Service includes web and mobile applications for managing assets, tasks, compliance records, forms, and related operational workflows.

3. Account Registration

Access to Console requires an active subscription through your organization. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Promptly notifying us of any unauthorized use at support@clauger.us

4. Acceptable Use

You agree to use Console only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Service
• Transmit any malicious code, viruses, or harmful data
• Use the Service to store or transmit infringing, libelous, or unlawful material
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or commercially exploit the Service without written permission

5. Intellectual Property

The Service, including its design, software, trademarks, and content, is owned by Clauger US, Inc. and protected by applicable intellectual property laws. Your use of the Service does not grant you any ownership rights.

You retain ownership of the operational data you enter into Console. By using the Service, you grant Clauger a limited license to store and process your data solely to provide the Service.

6. Subscription & Payment

Access to Console is provided through organizational subscription agreements negotiated separately with Clauger US. Subscription terms, pricing, and renewal conditions are governed by your organization's service agreement.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform maintenance, updates, or experience downtime outside our control. We will endeavor to provide advance notice of planned maintenance where possible.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CLAUGER DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR CONTINUOUSLY AVAILABLE.

Console is a compliance management tool. It does not constitute legal advice and does not guarantee compliance with OSHA or any other regulations. You are responsible for ensuring your facility meets all applicable regulatory requirements.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLAUGER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Termination

We reserve the right to suspend or terminate access to the Service at any time for violation of these Terms or your organization's subscription agreement. Upon termination, your right to use the Service ceases immediately.

11. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.

12. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms. We will provide reasonable notice of material changes.
